These Terms & Conditions apply to all offers, agreements, and deliveries by Zydis. Deviations are only valid if agreed in writing. The applicability of any general terms of the Client is expressly excluded.
The price for the Service is €25,000 excluding VAT, unless otherwise agreed in writing. Payment is made in full in advance via Digistore24, the authorised Merchant of Record. Zydis will not commence work until payment is confirmed. For business clients within the EU, the reverse charge mechanism may apply.
Zydis performs the Service to the best of its knowledge and ability. The agreement is a best-efforts obligation — not a results obligation. Zydis does not guarantee specific revenue, leads, conversion rates, or other business outcomes. Results depend on the quality of the Client's database, sales process, and external factors beyond Zydis's control. Zydis may engage third parties to perform the Service in whole or in part.
The Client is responsible for providing complete and accurate information via the onboarding form; maintaining access to all systems integrated into the Workflow; bearing all costs of third-party systems and AI providers; and ensuring the accuracy of all data provided. Additional costs or delays caused by the Client's failure to meet these obligations will be borne by the Client.
The Client shall provide all required access credentials, API keys, and logins in a timely manner and warrants their accuracy. If the Client provides incorrect or incomplete credentials, or delays access, Zydis is not liable for any resulting delays or defects. Additional costs arising from this are borne by the Client. Zydis treats all access credentials as confidential and deletes them upon the Client's request after delivery.
Zydis aims to deliver the completed Workflow within 7 business days of receiving a fully completed onboarding form. This timeline is indicative. Exceeding this timeline does not entitle the Client to compensation or dissolution of the agreement unless otherwise agreed in writing.
After completion, Zydis notifies the Client in writing. The Client must test the Workflow and report any defects in writing within 5 business days with a detailed description. If the Client does not respond within 5 business days, or begins using the Workflow, delivery is considered fully accepted. Defects known or reasonably knowable at the time of acceptance may not be raised thereafter.
Zydis provides technical support for 12 months from the date of delivery via email or messaging, with a target response time of 72 hours on business days. Support covers only technical issues directly related to the Workflow built by Zydis.
Support expressly excludes: issues caused by changes to third-party systems; requests for new automations or extensions; changes to the Client's business processes; issues from incorrect onboarding information; and disruptions, data loss, or errors in third-party systems including AI providers, CRM platforms, email clients, spreadsheets, or any other external system — even if integrated into the Workflow. After the 12-month period, additional support is available under a separate agreement.
Upon full payment, ownership of the Workflow transfers fully to the Client. Zydis retains all intellectual property rights to the underlying methodology, structure, and non-client-specific components. The Client may not make these available to third parties without Zydis's prior written consent.
Zydis is only liable for damage directly caused by wilful misconduct or deliberate recklessness. Zydis is not liable for indirect damage, loss of profit, or missed opportunities; disruptions caused by third-party systems including n8n, OpenAI, Google Workspace, HubSpot, Airtable, or any integrated platform; damage from inaccurate Client information; API or platform changes by external providers; or failure to achieve business results. Total liability is limited to the invoice amount paid. Any claim lapses 12 months after the event giving rise to liability.
The Client indemnifies Zydis against all third-party claims related to the Service, including claims arising from the Client's use of third-party systems, inaccurate information provided, or use of the Workflow by the Client or its employees.
The Client may cancel the assignment at any time. Upon cancellation, the full agreed amount plus any costs already incurred is owed. No refunds will be issued for work already performed.
Both parties shall keep all confidential information received in the context of the agreement strictly confidential for the duration of the agreement and 3 years thereafter. Breach by the Client results in an immediately payable penalty of €5,000 per breach plus €250 per day the breach continues, without prejudice to Zydis's right to claim full damages.
Where Zydis processes personal data on behalf of the Client, the Client is the data controller and Zydis is the data processor under the GDPR. Zydis processes data solely as instructed and applies appropriate security measures. The Client warrants that all data provided has been lawfully obtained and that data subjects have been informed. The Client fully indemnifies Zydis against claims from data subjects or supervisory authorities arising from a breach of this warranty. Zydis will delete or return Client data after the agreement ends, unless a legal retention obligation applies, and will notify the Client promptly of any data breach.
Zydis is not liable for failures to perform resulting from force majeure, including internet, electricity, or computer system failures; disruptions by AI providers or cloud platforms; and government measures. If a force majeure situation lasts more than 30 days, either party may dissolve the agreement in writing.
The Client must report complaints in writing within 1 month of discovery, with a detailed description. A complaint does not suspend payment obligations and cannot require Zydis to perform work beyond the agreed scope.
These Terms & Conditions are governed exclusively by Dutch law. All disputes shall be submitted to the competent court in the district of Gelderland, the Netherlands.
If any provision is found void or unenforceable, the remaining provisions remain in full force. Zydis may amend these Terms & Conditions and will communicate material changes to the Client in advance.
